End User License Agreement

1. License Grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application on mobile devices that you own or control, solely for your personal, non-commercial use (except for authorized eCommerce marketplace activities as described in the Terms of Service). This license includes the right to use all features of the Application, including AI-powered features such as the AI Chatbot and AI Scoreboard Capture technology.

2. License Restrictions

You agree that you will NOT:

  • Copy, modify, or distribute the Application or any portion thereof
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application
  • Rent, lease, lend, sell, sublicense, or otherwise transfer the Application or rights to it
  • Remove, alter, or obscure any proprietary notices or labels on the Application
  • Use the Application for any purpose that is illegal or prohibited by this Agreement
  • Create derivative works based on the Application
  • Use automated systems or bots to interact with the Application
  • Attempt to bypass any security measures or access controls
  • Reverse engineer, extract, or attempt to derive AI model weights, algorithms, or training data
  • Use AI features to process images not related to sports scoreboards
  • Attempt to bypass AI safety filters or content moderation systems
  • Use the AI chatbot to generate content for purposes unrelated to the Service

3. Intellectual Property

The Application, including all content, features, functionality, code, design, graphics, and trademarks, is and remains the exclusive property of ScoreBoardNow LLC and its licensors. This EULA does not grant you any ownership interest in the Application, only a limited right of use as set forth herein.

All rights not expressly granted to you are reserved by ScoreBoardNow LLC.

4. User Accounts and Data

Use of certain features requires account registration. You are responsible for maintaining the confidentiality of your account credentials. Your use of the Application and any data collected is subject to our Privacy Policy, which is incorporated herein by reference.

5. Third-Party Services

The Application may integrate with or contain links to third-party services, including but not limited to Firebase Cloud Messaging, Cloudflare R2, and future payment processors. Your use of such third-party services is governed by their respective terms and privacy policies. We are not responsible for the content, privacy practices, or functionality of any third-party services.

6. Artificial Intelligence Features

The Application includes AI-powered features that use third-party artificial intelligence and machine learning services:

  • AI-powered features use third-party AI/ML services to provide functionality such as chatbot support and scoreboard image recognition
  • AI outputs and suggestions are not guaranteed to be accurate. You are responsible for verifying any information generated by AI features before using or publishing it
  • When you use AI features like Scoreboard Capture, images are temporarily processed and stored on third-party AI provider servers. After processing, images may be retained by third parties to improve their AI models, subject to their privacy policies
  • AI features may be modified, improved, suspended, or discontinued at any time. The underlying AI provider, algorithms, or capabilities may change without notice
  • User retains full control: AI suggestions, extractions, and recommendations are not automatically applied. You must explicitly confirm and publish before any AI-generated content becomes part of your account
  • No automated decision-making: AI features do not make binding decisions that have legal or similarly significant effects on you. All final decisions remain under user control
  • EU AI Act Compliance: AI features in this Application are classified as limited-risk artificial intelligence under the EU AI Act. Transparency and risk mitigation measures are in place
  • User responsibility: You are responsible for verifying the accuracy of any data extracted by AI features before publishing, including game scores extracted from scoreboard images

7. Updates and Modifications

We may from time to time release updates, patches, or new versions of the Application. These updates may be required for continued use of the Application and may be installed automatically. By agreeing to this EULA, you consent to such automatic updates.

We reserve the right to modify, suspend, or discontinue any aspect of the Application at any time, with or without notice.

8. Termination

This EULA is effective until terminated. It will terminate automatically if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Application and uninstall/delete all copies.

We may terminate your license at any time for any reason. You may terminate this Agreement at any time by uninstalling the Application and deleting your account.

Sections relating to Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification shall survive termination.

9. Disclaimer of Warranties

We do not warrant that the Application will be uninterrupted, error-free, or free of viruses or other harmful components. Game scores and data displayed are user-generated and not officially verified.

10. Limitation of Liability

In no event shall our total liability to you exceed the amount you have paid to us for the Application in the twelve (12) months preceding the claim, or fifty US dollars ($50), whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless ScoreBoardNow LLC and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, or expenses (including reasonable attorney fees) arising from your use of the Application, your violation of this EULA, or your violation of any rights of a third party.

12. Apple App Store Additional Terms

If you downloaded the Application from the Apple App Store, the following additional terms apply:

  • This EULA is between you and ScoreBoardNow LLC only, not with Apple Inc. ("Apple"). Apple is not responsible for the Application or its content.
  • The license granted herein is limited to a non-transferable license to use the Application on any Apple-branded device that you own or control, as permitted by the App Store Terms of Service.
  • Apple has no obligation to provide maintenance or support services for the Application.
  • Apple is not responsible for any product warranties. If the Application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation.
  • Apple is not responsible for addressing any claims by you or any third party relating to the Application, including product liability claims, failure to meet legal or regulatory requirements, and consumer protection claims.
  • In the event of any third-party intellectual property claim, Apple is not responsible for the investigation, defense, settlement, or discharge of such claim.
  • Apple and its subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance of this EULA, Apple will have the right to enforce this EULA against you as a third-party beneficiary.

13. Google Play Store Additional Terms

If you downloaded the Application from the Google Play Store, the following additional terms apply:

  • This EULA is between you and ScoreBoardNow LLC only, not with Google LLC ("Google").
  • Google is not responsible for the Application or its content and has no obligation to provide maintenance, support, or warranty services.
  • Your use of the Application must comply with Google Play's Terms of Service.
  • Google is a third-party beneficiary of this EULA and may enforce its terms.

14. Export Compliance

You agree to comply with all applicable export and import laws and regulations, including United States export controls. You shall not export or re-export the Application to any country, person, or entity prohibited by applicable law.

15. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the United States and the state in which ScoreBoardNow LLC is incorporated, without regard to its conflict of law provisions.

For users in the European Union, this clause does not affect your statutory rights under the mandatory consumer protection laws of your country of residence.

16. Severability

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and ScoreBoardNow LLC with respect to the Application and supersedes all prior agreements and understandings.
